Terms of Service
Effective Date: January 1, 2026
Welcome to Veridian Systems. These Terms of Service ("Terms") govern the usage of the Veridian ecosystem, which includes the VeriScan SDK, VeriTrace enterprise trace dashboard, VeriShield anomaly intelligence platform, and all cryptographically verifiable hardware tags supplied by Veridian Systems Pte. Ltd.
By integrating our SDK into your corporate software or deploying VeriTag hardware across your physical supply chain, you (the "Enterprise Partner") agree to be irrevocably bound by these conditions.
1. Scope of Services & Hardware Leasing
Veridian provides proprietary NFC (NTAG 424 DNA), UHF Gen2, and QR hardware markers engineered with rolling authentication codes. Unless explicitly transferred via a separate legal manifest, all cryptographic private keys instantiated onto these microchips remain the absolute intellectual property of Veridian Systems. The hardware is provided under leasing or strict supply agreements tailored to each manufacturer. Modifying the hardware footprint or attempting to extract the keys via physical side-channel attacks is strictly prohibited.
2. API & SDK Usage Limits
Partners consuming the VeriScan SDK API are subject to strict volumetric rate limits. Any systematic automation, reverse engineering of SDK obfuscation layers, emulation, or artificial spoofing of verification endpoints without written prior consent will trigger an immediate permanent revocation of API keys. All attempted spoofing metrics are securely logged via the VeriShield platform for legal evidence.
3. Intellectual Property Rights
The Veridian Systems name, logo, dashboard UX/UI, routing algorithms, and core cryptographic verification formulas are the exclusive intellectual property of Veridian Systems Pte. Ltd. Enterprise Partners are granted a revocable, non-exclusive, non-transferable global license to display the `Verified by Veridian` insignia strictly on physical products protected by active Veridian hardware.
4. Limitation of Liability & Physical Deployment
While the Veridian infrastructure guarantees a mathematically secure (99.99%) theoretical defense against cryptographic cloning, the ultimate security of the product relies heavily on accurate physical deployment. It is the manufacturer's exclusive operational responsibility to ensure that VeriTag hardware is physically integrated into pharmaceutical packaging, electronic chassis, or security seals in a manner that renders non-destructive removal physically impossible.Veridian holds zero liability for revenue loss, brand damage, or health liabilities stemming from hardware tags that were physically excised, cut, or transplanted into counterfeit goods due to poor manufacturing integration.
5. Governing Law and Dispute Resolution
These Terms shall be interpreted exclusively in accordance with the laws of the Republic of Singapore. Any disputes arising from or in connection with the SDK or Hardware deployment shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC).
